Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Departure of Officer
On June 27, 2023 MongoDB, Inc. (the “Company”) and Mark Porter, the Company's Chief Technology Officer, determined that Mr. Porter will step down from the Company, effective July 3, 2023.
The Company expects to enter into a separation agreement with Mr. Porter that provides for a general release and waiver of claims against the Company, and pursuant to which Mr. Porter will receive severance benefits, the terms of which will be consistent with Mr. Porter's Amended and Restated Offer Letter dated December 21, 2021.
Departure of Director
On June 27, 2023, John D. McMahon, a Class I director of the Company's Board of Directors (the "Board") and a member of the Compensation Committee, notified the Company of his decision to not stand for reelection at the next Annual Meeting of Stockholders to be held in 2024 and resign effective on the date of the 2024 Annual Meeting of Stockholders. Mr. McMahon's decision was not based on any disagreement with the Company regarding its operations, policies, or practices. The Company appreciates Mr. McMahon's long service as a director.
